LETTER FROM ROSS JONES

Monday 26 January 2004

I wrote to Ross Jones recently explaining that as a shareholder I was concerned to see that the accounts had not been filed with Companies House. I asked him why they were late, and whether the directors had been able to sign off the accounts to say that the company was a "going concern".

I received the following reply from him dated 22 January 2004.

Dear Julia

Thank you for your recent queries.

The accounts for QPR Holdings plc for the year ended 31 May 2003 are now overdue as of the beginning of this month. The club's auditors have begun the process of auditing the accounts. These have yet to be finalised and filed at Companies House.

The Board is confident the company is and will remain a 'going concern', currently we are in the middle of negotiating several significant investments and it was felt by the Board that it would be best to delay filing the accounts so that these investments can be disclosed in them.

Kind regards.

Ross Jones
QPR Holdings plc
Chairman
